Arisinfra to Invest ₹60 Crore in Buildmex-Infra as Revenue Surges Nearly 10 Times

Mumbai, India | September 29, 2026:  Arisinfra Solutions is increasing its ownership in construction materials business Buildmex-Infra to 92% through a ₹60 crore acquisition, strengthening its exposure to a subsidiary that has recorded rapid revenue growth. The deal comes as demand for construction materials remains closely linked to activity across India's real estate and infrastructure sectors.

The company will acquire an additional 16% stake, taking its total holding from 76% to 92%. The transaction is expected to be completed by September 30, 2026, subject to closing adjustments.

₹60 Crore Deal Takes Arisinfra's Stake to 92%

Arisinfra Solutions' board has approved the acquisition of 16,000 equity shares in Buildmex-Infra Private Limited from an existing shareholder for ₹60 crore.

The additional stake will increase Arisinfra's ownership in the subsidiary to 92%, giving it a larger economic interest in the construction materials business.

Based on the transaction consideration, Buildmex-Infra's implied valuation stands at approximately ₹375 crore. The acquisition is not a related-party transaction.

Buildmex-Infra Revenue Climbs to ₹179 Crore

Buildmex-Infra has recorded substantial revenue growth over the past two financial years, with turnover rising from ₹17.93 crore in FY24 to ₹70.36 crore in FY25 and ₹179.03 crore in FY26.

This represents nearly tenfold growth over two years. The expansion highlights the increasing scale of the subsidiary's construction materials business.

Buildmex-Infra procures, trades and distributes materials used in infrastructure and real estate projects, connecting suppliers with businesses involved in construction.

Why Arisinfra Is Increasing Its Ownership

Arisinfra Chairman and Managing Director Ronak Morbia described the acquisition as a deliberate, long-term decision, citing the subsidiary's growth potential and opportunities for margin expansion.

The increased ownership will allow Arisinfra to capture a larger share of Buildmex-Infra's future economic performance. However, revenue growth alone does not establish how much profit the subsidiary generates or how its margins may develop.

The company's ability to sustain growth and improve profitability will remain important to assessing the longer-term value of the acquisition.

How the Acquisition Will Affect Arisinfra's Cash Position

Arisinfra said the transaction has been structured so that its trade deposits and advances will decline by a corresponding ₹60 crore.

As a result, the company does not expect the acquisition to reduce its overall cash position. The arrangement allows it to increase its ownership without an equivalent reduction in reported cash reserves.

The final financial impact will depend on the transaction's completion and the corresponding adjustments.

What the Deal Means for Construction and Real Estate

Construction materials are a key input for residential, commercial and infrastructure projects. Companies involved in procurement and distribution can play an important role in connecting developers and contractors with suppliers.

For Arisinfra, the increased stake strengthens its exposure to this part of the construction supply chain. Buildmex-Infra's revenue growth also indicates that the subsidiary has expanded its business substantially, although its future performance will depend on demand, operating costs and margins.

For real estate developers and contractors, the broader relevance lies in the role of organized materials procurement in supporting construction activity.

What Happens Next

The acquisition is expected to close on or before September 30, 2026. After completion, Arisinfra will hold 92% of Buildmex-Infra.

Investors and industry observers will be watching whether the subsidiary can sustain its revenue growth and translate its expanding business into stronger profitability. The extent to which the increased ownership contributes to Arisinfra's consolidated financial performance will become clearer through subsequent disclosures.
